LOCA LINK — HOST TERMS OF SERVICE(Effective upon form submission and acceptance)These Host Terms of Service (“Terms”) constitute a legally binding agreement between LocaLink, LLC (“LocaLink,” “Provider,” “We,” or “Us”) and the individual or business submitting the Host Onboarding Form (“Host,” “You,” or “Your”). By submitting the form and checking the acceptance box, Host agrees to be bound by these Terms.

1. Service Overview LocaLink installs and operates touchscreen kiosks within Host’s premises. These kiosks display advertising, business directories, and promotional content. Host agrees to provide a suitable location, stable utilities, and a safe environment for kiosk operation.

2. Operational Integration Fee (OIF) A mandatory one-time Operational Integration Fee (OIF) of $500 is required for each new Host location unless expressly waived in writing by LocaLink. This fee covers installation, mounting hardware, configuration, deployment labor, network integration, and quality assurance. The OIF becomes non-refundable once installation preparation begins. Only one OIF is charged per physical location, regardless of how many kiosks are later added.

3. Equipment Ownership All kiosks, stands, mounts, cabling, and related hardware remain the exclusive property of LocaLink. Host does not gain ownership rights and may not sell, modify, relocate, or dispose of the equipment. Any approved modifications or fixtures become part of the kiosk installation and remain LocaLink property.

4. Host Responsibilities Host must provide continuous electrical power, stable WiFi access when required, a clean and unobstructed placement area, and a safe operating environment. Host may not unplug, block, relocate, or interfere with the kiosk. Host must promptly report outages, tampering, or damage and must allow technician access for installation, maintenance, and removal. Failure to meet these obligations may affect host compensation.

5. Content & Advertising Control All kiosk content, including ads and directory listings, is selected, managed, and controlled solely by LocaLink. Advertisers displayed do not represent endorsements by Host. Host may request content review, but LocaLink is under no obligation to modify displayed content unless it violates law or safety regulations. Host may not alter or interfere with displayed content or kiosk software.

6. Prohibited Actions & Approved Modifications Host may not access internal components, repair or alter software, connect external devices, move the kiosk, unplug the device, or obstruct visibility. However, LocaLink may authorize Host-requested modifications, including mounting adjustments, aesthetic enhancements, signage, framing, or visibility improvements, as long as such modifications are requested in writing, approved in writing, and do not damage or impair the kiosk. Unauthorized modifications remain prohibited.

7. Maintenance, Damage, Negligence & Loss LocaLink handles routine maintenance and internal technical issues. Host may be financially responsible for repair or replacement if damage results from negligence, repeated unplugging, unauthorized relocation, misuse, unsafe conditions, or preventable vandalism. Host must notify LocaLink immediately following any damage, loss, or tampering.

8. Power, Connectivity & Uptime Limitations Kiosk uptime depends partly on Host-provided power and network access. Power outages, weak WiFi, disconnection, or environmental issues may interrupt service. LocaLink is not responsible for interruptions caused by Host conditions. Uptime is not guaranteed. Temporary downtime does not entitle Host to compensation, refunds, or damages. If Host-caused outages occur repeatedly, compensation may be reduced or suspended.

9. Host Compensation & Reliability Requirements Standard Host compensation is $100 per month per installed kiosk. Compensation requires Host to maintain stable utilities, avoid unplugging or disabling the device, provide a safe placement environment, and report issues promptly. A Host may be classified as unreliable if the kiosk is unplugged or disabled three or more times, if multiple negligence-related incidents occur, or if Host repeatedly fails to maintain required conditions. Unreliable Hosts may receive reduced compensation, suspended compensation, kiosk removal, or may be denied future placements at LocaLink’s discretion.

10. No Exclusivity Hosting a kiosk does not grant territorial or industry exclusivity. LocaLink may install kiosks at nearby or competing locations unless expressly agreed otherwise in writing.

11. Legal Compliance Host agrees to follow all applicable laws, building codes, fire regulations, and safety standards. Host may not use the kiosk to promote or facilitate illegal or harmful activities.

12. Indemnification Host shall indemnify, defend, and hold harmless LocaLink, its employees, technicians, and partners from claims arising from premises conditions, Host negligence, customer misuse, violations of law, or interference with the kiosk. LocaLink remains responsible for safe installation and internal device function when used as intended.

13. Termination & Removal of Equipment LocaLink may terminate hosting and remove the kiosk if Host repeatedly disables or obstructs the device, is deemed unreliable, fails to maintain a safe environment, engages in harmful or illegal behavior, or materially breaches these Terms. Either party may request removal with reasonable notice. Removal timing is based on technician availability.

14. Liability Limitation LocaLink is not liable for indirect, incidental, punitive, or consequential damages. LocaLink’s total liability shall not exceed $1,000 or the amount Host paid to LocaLink within the preceding twelve months, whichever is greater. Host is responsible for damages arising from negligence, misuse, or prohibited actions.

15. Privacy & Data The kiosk does not record or capture audio or video of Host’s premises. LocaLink may collect anonymous analytics such as views and touches. LocaLink does not sell or share Host personal data.

16. Changes to Terms LocaLink may update these Terms at any time. Continued hosting constitutes acceptance of updated Terms.

17. Governing Law These Terms are governed exclusively by the laws of the State of Arizona.

18. Severability If any provision is found invalid or unenforceable, the remainder of these Terms remains effective.

19. Entire Agreement These Terms constitute the entire agreement between Host and LocaLink regarding kiosk hosting and replace all prior discussions or representations.

20. Acceptance By checking the acceptance box on the Host Onboarding Form and submitting, Host acknowledges they have read, understand, and agree to these Terms in full.
